the main point is to use licensed shadow protect version.
I used the IT edition in imaging the old server, then restore to a VM.
the usb disk has a license, so run the SP license server in a windows 2008 R2, this requires disabling the firewall,
so in windows 2008 server manager, search for firewall, in the domain profile disable firewall,
eventutally restoring the image to the VM, start the VM is just fine, no previous blue screen 0x0000.....
I had this problem becuase I mixed or mismatched IT edition image / boot disc,
in short, using a shadow protect cd is just not enough.
