do an in-place upgrade of a windows 2008 R2 PDC to server 2012 ?
No way, you can't do that, not a PDC upgrade,
what will happen is that the server 2012 will rename the current windows install to windows.old, then install itself as a standalone server....
..... so there is no in-place upgrade path ...
